The Federal Republic of Nigeria has received financing from the Islamic Development Bank toward the cost of the Special Agro-Industrial Processing Zones Project, and intends to apply part of the proceeds for consultant services for the engagement of a Transaction Advisor.

The services include but not limited to the physical assessment of the functionally available relevant production and processing infrastructure in the SAPZ site area, including an estimation of costs for necessary rehabilitation where necessary. establishment of the infrastructure gaps and review of Terms of Reference (ToR) for the engagement of design consultant for the design of appropriate, realistic solutions to bridge the identified gaps, with particular attention to the phasing of infrastructure to ensure that minimum requirements for the start of project operations can be delivered within a short time frame, including, where necessary, considerations for initial ameliorative efforts like road improvements, gas supply through Compressed Natural Gas (CNG); ensuring that the design, master plans, and market feasibility of SAPZs are demand-driven, meet customer needs, are commercially viable, and bankable: review of the Terms of Reference (TOR), Expression of Interest (EOI), Request for Proposal (RFP) and bidding documents for the engagement of build contractors for the construction of requite integrated infrastructure for the AIH, ATC and AC; technical and financial appraisal of the proposed infrastructure delivery solutions, giving cognizance to funds available to the SAPZ Program; identification and evaluation of private sector infrastructure delivery partners willing to partner with the SAPZ Program in infrastructure development and management, including assistance with bidding processes; sourcing for both local and international investors for both AlH and ATC as tenants to invest and operate in the zone; develop an optimal revenue model for the SAPZ to enable the project pay back the loan and preparation of a draft PPP agreement for the development, operation and management of the zone. Such agreement is expected to contain suitable models and structure for bankable project including risk and mitigation instruments in line with best practices. The agreement will include all necessary annexes and subsidiary documentation, e.g., performance specification, project scope, client’s requirements, technical specification, project performance monitoring regime, code of construction practice, etc. The project states of FCT, Kano and Kwara will each require the services of one transaction advisor.

The services of the transaction advisor shall be for a period of 5 years with effect from the date of the date of the contract.

The National Program Coordinating Office now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the services, Interested Consultants must provide specific information which demonstrates that they are fully qualified to perform the services (brochures, description of similar assignments, experience in similar conditions, availability of appropriate skills among staff, etc.).

The shortlisting criteria are:
1. Firm’s general experiences, qualification and managerial ability.
2. Firm’s Financial/Account Information with Evidence of Tax Clearance (TCC) and Audited Accounts for 2021, 2022 & 2023.
3. Firm’s Specific experience in transaction advisory services in projects with similar nature
4. Availability of relevant personnel
5. Firm’s similar experience in donor funded projects.

The attention of interested Consultants is drawn to Paragraphs, 1.23, and 1.24 of the Guidelines for Procurement of Consultant Services under Islamic Development Bank Project Financing (the “Procurement Guidelines”), setting forth IsDB’s policy on conflict of interest.

Consultancy may associate with other firms to enhance their qualifications, but should indicate clearly whether the association is in the form of a joint venture and/or a sub-consultancy. In the case of a joint venture, all the partners in the joint venture shall be jointly and severally liable for the entire contract, if selected.

A consultant will be selected in accordance with the quality and cost based selection (QCBS) method set out in the procurement guidelines.
